Terms of Service

Effective date: October 20, 2026

These Terms of Service (the “Terms”) form a binding agreement between Render Forge LLC, a Washington limited liability company (“Render Forge”, “we”, “us” or “our”), and the organization or individual subscribing to the Service (“Customer” or “you”). By creating a Studio, subscribing to a Plan, or otherwise accepting these Terms, you agree to them. If you accept on behalf of an organization, you represent that you are authorized to bind it. Users and Reviewers must comply with the provisions applicable to their use of the Service. Our Privacy Policy explains how we handle personal information. Where applicable, our Data Processing Addendum also forms part of these Terms. Purchases through Paddle are additionally governed by Paddle’s applicable buyer terms.

1. Definitions

2. Use of the Service

2.1 Access. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right during your trial or subscription term to access and use the Service for your business purposes. This includes collaborating on your projects with employees, contractors, clients and other invited Users and Reviewers; it does not permit reselling the Service as a standalone product.

2.2 Eligibility. The Service is intended for business use. You must be at least 18 years of age to create a Studio.

2.3 Accounts. Each Studio has one owner. The owner and the Studio’s administrators determine who receives an account and what each User may do, and the Customer is responsible for all activity under its Studio’s accounts. You must keep credentials and two-factor authentication codes confidential and notify us promptly at support@ossavi.com of any suspected unauthorized access.

2.4 Review and share links. Review and share links allow Reviewers to access selected Content without creating an account. Anyone who possesses a link and, if enabled, its required password may be able to access the associated Content until access expires or is disabled. You control whom you invite and are responsible for configuring and sharing these links appropriately. Password-protected links should be shared through a separate or appropriately secure channel when confidentiality matters.

3. Trials, fees and payment

3.1 Free trial. New Studios receive a free trial of 14 days. If the Customer has not subscribed to a paid Plan by the end of the trial, the Studio will be suspended, and its Content will be retained and deleted as set out in Section 8.

3.2 Plans and limits. Each Plan includes all features of the Service and the number of Users and amount of storage published on our website or agreed in an order form. Reviewers do not count toward User limits. If a limit is reached, you may upgrade your Plan or reduce usage. We will not delete Content to bring a Studio within its limits.

3.3 Fees, billing and automatic renewal. Prices are displayed in United States dollars unless stated otherwise. Paid Plans are billed in advance at the price and interval (monthly or annually) disclosed before checkout. Unless cancelled, subscriptions renew automatically for successive billing periods of the same length, and the applicable recurring charge is collected at renewal. The checkout will display the applicable price, renewal frequency and any taxes before you authorize a purchase. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all orders placed through its checkout. Paddle provides customer service for payment inquiries and handles returns and payment-related refunds. Those purchases are also subject to Paddle’s Buyer Terms. We provide product and technical support at support@ossavi.com. Custom Plans may instead be billed by direct invoice on the terms stated in the agreed order form or invoice. Applicable taxes are shown or added as required by law.

3.4 Price changes. We will give at least 30 days’ advance notice of a price increase affecting an existing paid subscription. An increase will take effect no earlier than the first renewal following that notice period. If you do not accept the new price, you may cancel before it takes effect. Nothing in this section limits additional notice or consent rights required by applicable law.

3.5 Cancellation. You may cancel an automatically renewing subscription at any time using the cancellation option provided through Paddle’s subscription-management or billing communications, if available, or by contacting support@ossavi.com. If you need help locating the cancellation option, contact us before your next renewal date. Cancellation ordinarily stops future renewals and takes effect at the end of the then-current paid billing period; your Studio remains accessible through that period unless suspended for another reason. We will honor any earlier cancellation or refund right required by law.

3.6 Refunds. If you are not satisfied with the Service, you may request a full refund within 14 days after your first payment for an Ossavi subscription by contacting support@ossavi.com. For purchases through Paddle, Paddle administers payment-related refunds and returns as merchant of record, and we will assist with your request. Outside this initial refund period, fees are generally non-refundable, including for partially used periods, except as required by law or any more favorable right offered through the applicable checkout terms. This policy does not restrict mandatory consumer rights.

3.7 Non-payment. If a payment fails and is not remedied after notice, we may suspend the Studio until the outstanding amount is paid.

4. Content

4.1 Ownership. As between the parties, you retain all rights, title and interest in and to your Content.

4.2 Limited license to Render Forge. You grant Render Forge a limited, worldwide, non-exclusive license to host, store, reproduce, process and display Content only as reasonably necessary to provide, maintain, secure, troubleshoot and support the Service for you, including generating previews, maintaining authorized backups, and displaying Content to your designated Users and Reviewers. This license continues after suspension or termination only to the extent necessary for retention, deletion, restoration or compliance expressly permitted by these Terms or required by law, and ends when the corresponding Content is permanently deleted. We will not use Customer Content to train artificial intelligence or machine-learning models.

4.3 Responsibility for Content. You are responsible for your Content and represent that you have the rights, permissions and lawful basis necessary to submit it to the Service and share it with the people you designate. Nothing in these Terms transfers ownership of a client’s, contractor’s or other third party’s work to you. The Service is not intended as the sole repository of your work, and you should retain your own copies of original files.

4.4 Confidentiality. Each party will protect the other party’s non-public information that is marked confidential or reasonably understood to be confidential, use it only to perform or exercise rights under these Terms, and disclose it only to people and service providers who need to know it and are bound to protect it. Your private Content, unreleased artwork, project feedback and non-public Studio information are your confidential information whether or not marked. Confidentiality obligations do not apply to information that the recipient can demonstrate is publicly available without breach, was lawfully known before disclosure, was independently developed without use of confidential information, or was lawfully received from another source without a duty of confidence. Disclosure required by law is permitted, with advance notice when legally allowed. These obligations continue for three years after termination, and for trade secrets as long as they remain protected by applicable law. Our limited right to process Content under Section 4.2 does not authorize public disclosure or promotional use.

4.5 Ossavi intellectual property. Render Forge and its licensors retain all rights in the Service, including its software, design, documentation, trademarks and underlying technology. No rights are granted except the limited access right in Section 2.1. We do not acquire ownership of your Content by providing the Service.

5. Acceptable use

You will not, and will not permit any User or Reviewer to:

Please report suspected security vulnerabilities to support@ossavi.com.

6. Our obligations

We will provide the Service with reasonable skill and care; keep each Customer’s data logically separated from that of other Customers; maintain regular backups; and protect Content in accordance with our Privacy Policy and, where applicable, our Data Processing Addendum. We may modify the Service from time to time. We will give reasonable advance notice before removing functionality that is material to your use of the Service.

7. Suspension and termination

7.1 Suspension. We may suspend a Studio or account if the free trial ends without a subscription, if fees are overdue, if you materially or repeatedly breach these Terms, or where reasonably necessary to protect the Service, other Customers or third parties. Where reasonably practicable, we will give notice and an opportunity to cure before suspending.

7.2 Termination. Either party may terminate these Terms for the other party’s material breach that remains uncured 30 days after written notice. You may also terminate by cancelling your subscription in accordance with Section 3.5.

7.3 Survival. Sections 4.1 and 4.3–4.5, Section 4.2 only for the limited post-termination purposes stated there, and Sections 8–11 and 13 survive termination to the extent relevant. The Data Processing Addendum and any confidentiality or legal obligations that by their nature continue also survive for so long as they apply to retained data.

8. Data retention after a Studio ends

8.1 Retention and deletion. A suspended Studio is inaccessible to its Users, but its Content remains in primary storage during the suspension period. Following cancellation, the Studio remains accessible through the end of the paid billing period and then enters suspension. If a suspended Studio is not reactivated within 60 days, or if you request earlier closure in writing, we will delete the Studio and Content from active systems, subject to applicable legal retention obligations and the backup schedule described below. You may contact us before deletion to request assistance retrieving your Content; recovery or export is not guaranteed after deletion.

8.2 Backups. We maintain disaster-recovery backups that may temporarily contain Content deleted from active systems, including earlier versions of files and comments. Backup copies associated with a Studio that has ended expire within twelve months after the Studio first enters suspension or closes at the end of its paid billing period, as applicable, unless a longer period is legally required. Backups are used for recovery rather than routine access and are deleted when their configured retention period expires.

8.3 Restoration from backup. At your request, we will use reasonable efforts to restore a deleted Studio or deleted Content from backup, subject to a restoration fee. We will provide a quotation before beginning work, and no fee is payable unless you accept it. Restoration is available only while a backup containing the requested data exists, and restores the data as it existed at the time of that backup.

9. Disclaimer of warranties

We aim to keep the Service available and to give advance notice of planned maintenance, but we do not warrant that the Service will be uninterrupted or error-free. Except as expressly set out in these Terms, the Service is provided “as is” and “as available”, and to the maximum extent permitted by law, Render Forge disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, title and non-infringement.

10. Limitation of liability

10.1 Exclusion of certain damages. To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill or data, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if advised of the possibility of such damages.

10.2 Cap. To the maximum extent permitted by law, each party’s total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) US $100 or (b) the total subscription fees actually paid for the Service in the twelve months preceding the event giving rise to the claim, whether paid directly to Render Forge or through Paddle as merchant of record, excluding taxes.

10.3 Exceptions. The limitations in this Section 10 do not apply to your payment obligations, to your obligations under Section 11, or to liability that cannot be limited or excluded under applicable law.

11. Indemnification

You will defend, indemnify and hold harmless Render Forge and its members, officers and employees against third-party claims alleging that Content you submit or direct us to share infringes third-party intellectual property or other legal rights, or arises from your material violation of Section 5, and will pay damages finally awarded or amounts agreed in an approved settlement and reasonable related legal costs. We will give you prompt notice of a claim (except to the extent delay materially prejudices your defense), reasonably cooperate at your expense, and allow you to control the defense through qualified counsel. You may not settle a claim in a way that admits fault by us, imposes obligations on us, or fails to fully release us without our prior written consent, not to be unreasonably withheld. These obligations do not apply to the extent a claim is caused by our unauthorized modification or use of Content.

12. Changes to these Terms

We may amend these Terms from time to time. We will revise the effective date above and, for material changes, notify Studio owners by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.

13. General

13.1 Governing law and venue. These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. The state and federal courts located in the State of Washington have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to their jurisdiction.

13.2 Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, other than payment obligations.

13.3 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of our assets.

13.4 Severability and waiver. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. A failure to enforce any provision is not a waiver of it.

13.5 Entire agreement. These Terms, the Privacy Policy, the applicable Data Processing Addendum, and any mutually agreed order form or invoice constitute the entire agreement between Render Forge and Customer concerning the Service and supersede prior agreements on that subject. Paddle’s separate buyer terms govern purchases processed by Paddle. Where the Data Processing Addendum conflicts with these Terms regarding the processing of Customer Personal Data, the Addendum controls to that extent.

13.6 Notices. We may give notices to you by email to the Studio owner or through the Service. Notices to us must be sent to support@ossavi.com.
